DISTRIBUTION RIGHTS

This policy outlines the rules and guidelines for the distribution, resale, and pricing of the SMGB course, ensuring fairness, integrity, and compliance with the Terms and Conditions.

1. PROHIBETED PRACTICES

  • Selling the product at a price that deliberately undermines its value (e.g., reselling for unreasonably low amounts with the intent to misrepresent or harm brand integrity).
  • Using the product for malicious purposes to harm the brand or reputation of SMGB Business Academy Ltd.
  • Distributing the product in any way that violates the terms of sale, including unauthorised giveaways or extreme discounts (e.g., “free” offers).
  • Selling the product on auction sites (e.g., eBay, Gumtree) or in formats that diminish its perceived quality and exclusivity.
  • Modifying, altering, or uploading the content to unauthorised hosting platforms.

Violations of these policies may result in:

  • Termination of resale rights following a formal review.
  • Revocation of licences if a reseller is found to have misrepresented the product.
  • Legal action for damages and copyright infringement.

2. SUGGESTED ADVERTISING PRICE (SAP)

The SAP for the SMGB course is £390, reflecting its value and quality.

  • Resellers are encouraged to maintain this price to reflect the course’s positioning.
  • Deliberate underpricing (e.g., offering the course at a rate designed to misrepresent or damage the brand) is discouraged and may result in a review of resale rights.

Discounting Guidelines

  • Resellers may apply discounts at their discretion.
  • Excessive discounting that misrepresents the course’s value or creates market confusion may be reviewed.

The RRP for the SMGB course is £390, reflecting its value and quality.

  • Resellers are encouraged to adhere to this price to maintain the product’s integrity.
  • Deliberate underpricing (e.g., offering the course for £20) that harms the brand or devalues the product is prohibited and constitutes a breach of the Terms and Conditions.

Discounting Guidelines

  • Discounts may be applied but must be reasonable and limited to once per month.
  • Pricing below £300 without a valid reason may be considered a violation of this policy.

MINIMUM ADVERTISING POLICY (MAP)

3.1 Purpose

To maintain the perceived value of the SMGB Digital Marketing Course and ensure fair competition among resellers, all advertising of the course should align with the following Minimum Advertising Price (MAP) recommendation.

3.2 MAP Recommendation

Resellers are strongly encouraged to advertise the SMGB Digital Marketing Course at or above £390 in all public-facing promotions, including but not limited to:

  • Social media posts.
  • Email campaigns.
  • Paid advertisements.
  • Websites or landing pages.

However, resellers remain free to determine their own selling price. Private negotiations, direct client discounts, or personal sales strategies are not restricted by this recommendation.

3.3 Monitoring and Enforcement

SMGB Business Academy Ltd reserves the right to review advertising materials to ensure compliance with branding and representation standards. While pricing is at the reseller’s discretion, misleading pricing tactics that significantly undermine the brand or create confusion may result in an evaluation of the reseller’s rights.

3.4 Updates to MAP Recommendations

SMGB Business Academy Ltd reserves the right to update guidance on recommended pricing, ensuring resellers are informed of best practices.

GOOD FAITH REQUIREMENT

Resellers are expected to act in good faith to protect the reputation and perceived value of the SMGB course. This includes:

  • Maintaining brand integrity by following best practices for advertising and sales.
  • Avoiding misleading promotions that could misrepresent the product’s value.

Examples of Violations

  • Deliberately underpricing the course in a way that devalues its credibility.
  • Using false advertising or exaggerated claims about the product’s potential earnings.

REVOCATION OF RESALES RIGHTS

Resale rights may be reviewed and potentially revoked if a reseller is found to be in clear breach of these terms, specifically engaging in:

  • Misrepresentation of the course.
  • Unethical marketing practices.
  • Intentional brand damage.
  • Intellectual property infringement.

SMGB Business Academy Ltd will provide written notice before any action is taken unless the breach involves fraudulent activity, copyright violations, or deliberate market manipulation, in which case immediate action may be taken.

AUTHORISED AND UNAUTHROISED USE

Permitted Activities:

  • Can be sold.
  • Can sell resale rights or master resale rights.
  • Can add the product into a paid product bundle or package at a higher price.

Prohibited Activities:

  • Cannot add the product to a free or paid membership site.
  • Cannot give the product away for free.
  • Cannot offer the product as a bonus to another product. However, you may offer bonuses to this product when selling.
  • Cannot sell the product on auction sites (eBay, Gumtree, etc.).
  • Cannot use or sell this product in a dime sale event.
  • Cannot modify video content in any way or upload it to unauthorised hosting platforms.

DIGITAL PRODUCT LICENSING AGREEMENT & INTELLECTUAL PROPERTY PROTECTION

7.1 Revocation of Resale Rights

SMGB Business Academy Ltd reserves the right to review and revoke resale rights if necessary, particularly in cases where a reseller engages in fraudulent activity, misrepresentation, or misuse of branding materials.

7.2 Intellectual Property Protection

  • The SMGB course, including its videos and content, is protected by copyright law.
  • Any unauthorised modifications, redistribution, or sharing of the course constitutes copyright infringementand may result in legal action.
  • Resellers agree to these terms upon purchasing resale rights and are bound by the Digital Product Licensing Agreement.

7.3 Digital Product Licensing Agreement

All resellers are required to accept the Digital Product Licensing Agreement at the time of purchase. This agreement ensures that:

  • The course’s intellectual property rights are respected.
  • Resellers adhere to brand representation guidelines.

PRIVACY & GDPR COMPLIANCE
