You will maintain a respectful and professional attitude towards the course, its creator, and other participants.
You will not engage in defamatory, disparaging, or harmful behaviour towards the course, its creator, or its associated brands.
2. Prohibited Actions:
You are prohibited from directly or indirectly engaging in any conduct that may harm the reputation of SMGB Business Academy Ltd, its creator, or associated brands. This includes, but is not limited to, creating, sharing, commenting on, liking, or otherwise participating in content (public or private) that is defamatory, disparaging, or likely to incite reputational harm.
Posting or sharing any negative, mocking, or defamatory comments on social media or public platforms.
Sharing or misusing course content in a way that damages its intellectual property or reputation.
Encouraging others to criticise or undermine the course or its creator publicly.
Criticising or devaluing SMGB, its creator, or the course materials in order to promote, upsell, or redirect customers toward your own or another person’s paid product, service, or affiliate offer. This includes attempting to create doubt about SMGB to drive conversions elsewhere.
3. Intellectual Property Protection:
The course materials, including text, videos, templates, and designs, remain the intellectual property of SMGB Business Academy Ltd.
You are prohibited from distributing, reselling, or sharing course materials without explicit written permission.
Misuse of course materials, including public criticism, will result in immediate termination and may lead to legal action.
4. Consequences for Breach:
Your access to the course and associated materials will be revoked immediately.
No refund will be issued in cases of breach, as outlined in the Refund Policy.
SMGB Business Academy Ltd reserves the right to pursue legal action for reputational or financial harm caused by your actions.
4.DEFAMATION & HARASSMENT PROTECTION
SMGB Business Academy Ltd retains the right to take legal action in the event of:
• False or defamatory statements about the course, its creator, or associated brands.
• Publicly harassing or mocking the course or its participants.
• Any form of cyberbullying directed at the creator, staff, or community members.
Legal and Governing Law
This agreement is governed by and construed in accordance with the laws of England and Wales.
• Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
• In case of a legal dispute, this agreement, including all clauses, will be relied upon for protection and enforcement.
General Behaviour Expectations
1. Participants are expected to engage in discussions and interactions constructively.
2. Use of offensive language, personal attacks, or toxic behaviour within the course or associated forums is prohibited.
3. Violation of these expectations will lead to immediate removal without refund.
5.INDEMNIFICATION, LIABILITY WAIVER & PROFESSIONAL ADVICE DISCLAIMER
5.1 GENERAL INDEMNIFICATION & LIABILITY WAIVER
By purchasing, accessing, or using the SMGB Business Course MRR, you agree to fully indemnify, defend, and hold harmless SMGB Business Academy Ltd, its directors, officers, employees, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, expenses, and legal fees (including, but not limited to, solicitor, lawyer, and barrister costs) arising from or related to:

Under no circumstances shall SMGB Business Academy Ltd be liable for any direct, indirect, incidental, consequential, or special damages arising from your use of the Product, even if advised of the possibility of such damages.
You acknowledge that any business, income, or legal decisions you make are at your own risk and discretion.

1. Confidential Information By participating in the SMGB community or accessing SMGB resources, you agree that all materials and information provided by SMGB are considered Confidential Information. This includes, but is not limited to: • Course materials such as text, videos, templates, and PDFs. • Marketing strategies, sales techniques, and proprietary business systems. • Discussions, training sessions, and other content shared in private forums or groups. You agree to keep all Confidential Information private and not share it with any third party without prior written consent from SMGB. 2. Permitted Use You may use Confidential Information only for the following purposes: • Reselling authorised SMGB products as per your licence. • Applying strategies for your personal business growth. You are strictly prohibited from: • Sharing, distributing, or copying SMGB content for purposes other than reselling. • Modifying, altering, reverse engineering or creating derivative works from SMGB content. • Claiming ownership of SMGB materials or intellectual property. 3. Reselling Rights SMGB grants members a non-exclusive, non-transferable licence to resell SMGB products, provided that: • You use only approved SMGB branding and materials. • You follow any pricing or promotional guidelines outlined by SMGB. • You do not transfer your reseller licence or master resale rights without written approval. 4. Prohibited Actions You agree that you will not: • Offer SMGB products for free or as part of a free bundle. • Sell or share the materials with unauthorised parties. • Impersonate SMGB or claim authorship of its materials. 5. Duration These confidentiality obligations remain in effect during your membership in the SMGB community and for 3 years after your membership ends. 6. Consequences of Breach If you breach these Terms: • Your access to the SMGB community and reselling rights will be immediately revoked. • SMGB reserves the right to pursue legal action, including claims for damages or injunctive relief. 7. Acknowledgment and Agreement By participating in the SMGB community or reselling SMGB products, you acknowledge and agree to these confidentiality and reseller obligations. Your continued participation constitutes legal acceptance of these Terms.
8. CONFIDENTIALITY & SECURITY POLICY
You are also responsible for ensuring that any testimonials, success stories, or feedback you share in SMGB communities are truthful and accurate. (See Section 15 for full testimonial terms.)
7.COPYRIGHT & INTELLECTUAL PROPERTY PROTECTION
ALL RIGHTS RESERVED – UNAUTHORISED USE STRICTLY PROHIBITED
Ownership of Content
All course materials, including but not limited to videos, text, templates, PDFs, sales scripts, branding elements, and marketing strategies, are the exclusive intellectual property of SMGB Business Academy Ltd.
The course and its content are protected under UK and international copyright laws and may not be reproduced, distributed, or modified without explicit written permission.
Resale Rights & Limitations
You do not own the course content itself—you are granted a non-exclusive, non-transferable resale license under the Master Resell Rights (MRR) model.
Resellers may only sell the product under the terms of their license and must not modify or rebrand the original materials.
Strictly Prohibited Actions
Consequences of Copyright Infringement
Any unauthorised use, duplication, or distribution of SMGB Business Academy Ltd content will result in:
Reporting Copyright Violations
SMGB Business Academy Ltd actively monitors and takes legal action against copyright infringement.
If you suspect someone is unlawfully distributing or misusing SMGB materials, please report it immediately to info@selfmadegirlboss.co.uk.
LEGAL NOTICE
All SMGB Business Academy Ltd content is protected under the UK Copyright, Designs and Patents Act 1988 and applicable international copyright treaties. Unauthorised reproduction, resale, or redistribution of materials may result in civil and/or criminal liability.
8. BUSINESS FLEXIBILITY
8. Business Model Flexibility & Limitation of Future Claims
SMGB Business Academy Ltd reserves the right to update, change, or discontinue the Master Resell Rights (MRR) model, affiliate program structure, licensing terms, pricing, or overall business strategy at any time, at its sole discretion.
By purchasing the SMGB Business Course with MRR, you acknowledge and agree that:
These rights are non-exclusive and time-sensitive, and your continued use of or association with the Product constitutes acceptance of any such future changes.
9. RESELLER RESPONSIBILITY FOR DOWNLINE CUSTOMERS
By reselling the SMGB Business Course with MRR, you acknowledge that:
You are fully responsible for the way in which you market, communicate, and sell the Product to your customers.
You must accurately represent the Product and must not make false income claims, misleading promises, or misrepresent its features.
SMGB Business Academy Ltd is not liable for any complaints, disputes, chargebacks, or dissatisfaction expressed by your customers.
You agree to handle all queries, refund requests (if offered), or customer support issues related to your own sales independently.
Any attempt to shift responsibility, defame SMGB, or publicly claim misrepresentation due to customer issues will result in immediate termination of your reseller rights.
Additionally, any attempt to publicly slander or defame the course, its creator, or the SMGB brand — including negative reviews, accusations, or misleading social media posts — will result in legal action and financial liability.
SMGB Business Academy Ltd reserves the right to claim a minimum of £5,000 in liquidated damages for reputational harm caused by such conduct. This amount reflects a genuine pre-estimate of loss and is not a penalty.
9.2 Acknowledgement of Terms Enforcement
All independent resellers acknowledge and agree that:
Customers they sell to are bound by the SMGB Terms and Conditions from the moment of purchase.
If a customer breaches these terms and has their access revoked, SMGB Business Academy Ltd has full discretion to enforce its policies without liability to the reseller.
Resellers have no right to challenge, dispute, or seek reimbursement from SMGB Business Academy Ltd in relation to actions taken against their customers for breaches of terms.
It is the sole responsibility of each reseller to communicate and enforce these terms with their own customers.
10.TERMINATION OF ACCESS & RESELLER RIGHTS:
SMGB Business Academy Ltd reserves the absolute right to terminate access, revoke reseller rights, and ban individuals from repurchasing the course at any time under the following conditions:
1. Termination Due to Breach of Terms
Your access to the course and reseller rights will be permanently revoked if you:
Breach any part of this Agreement, including confidentiality, reseller obligations, or copyright policies.
Engage in fraudulent, deceptive, or misleading practices in relation to the sale or promotion of the course.
Disparage, defame, or harass SMGB Business Academy Ltd, its creator, staff, or community members.
Distribute, share, or misuse course materials outside of permitted resale rights.
Encourage or facilitate the resale of the course by unauthorised individuals (e.g., offering resale rights to someone who is not licensed).
“Right to Immediate Suspension During Investigation”
SMGB Business Academy Ltd reserves the right, at its sole discretion, to suspend or terminate access to the SMGB Business Course and all associated materials without prior notice if:
The individual is under investigation for breaches of these Terms & Conditions, or
There is reasonable evidence or suspicion of conduct that threatens the safety, integrity, or reputation of SMGB Business Academy Ltd, its community, or its creator.
Such precautionary suspension does not require the conclusion of an internal or external investigation before action is taken. This measure is taken to protect the community and brand during periods of uncertainty.
If it is later determined that no breach occurred, access may be reinstated at the sole discretion of SMGB Business Academy Ltd. No refunds will be issued during suspension periods or following termination for breaches confirmed by investigation.
Immediate Effect:
Termination is immediate and non-negotiable once a breach is confirmed.
No refunds will be issued in the event of termination due to breach.
2. Termination for Malicious or Disruptive Behavior
SMGB Business Academy Ltd maintains a zero-tolerance policy for disruptive, harmful, or bad-faith behavior, including:
Trolling, harassment, or instigating disputes within the community.
Spreading false or misleading information about SMGB, its business model, or its creator.
Attempting to harm the reputation or operations of SMGB Business Academy Ltd through social media, forums, or public discussions.
Encouraging others to undermine the business (e.g., advising people to resell for unfairly low prices to sabotage the brand).
Immediate Effect:
You will be permanently banned from repurchasing the course or participating in any SMGB-affiliated programs.
Your name, email, and transaction details will be added to a restricted access list to prevent future purchases.
3. Repurchasing & Ban Enforcement Policy
Once terminated, you are permanently prohibited from:
Repurchasing the course directly or via a third party.
Creating a new account with a different email or payment method to bypass the ban.
Accessing course materials through another participant’s login or shared account.
Participating in any SMGB-affiliated programs, mentorship, or events.
Enforcement Measures:
All purchases are cross-verified against a database of terminated participants.
Any attempt to circumvent the ban will result in immediate removal without refund.
Resellers found selling to banned individuals will lose their resale rights immediately.
4. Termination for Business Restructuring or Company Discretion
In rare cases, SMGB Business Academy Ltd may terminate access due to company restructuring, business model adjustments, or product discontinuation.
In such cases, 30 days’ notice will be given where applicable.
If termination is not due to a breach, a pro-rata refund may be issued at the discretion of SMGB Business Academy Ltd.
You acknowledge that SMGB Business Academy Ltd may change its course structure or resale model in future, and you waive the right to pursue legal or financial claims related to such changes.
No refund will be provided if termination is due to violation of these Terms & Conditions.
5. Legal Consequences for Breach & Attempts to Regain Access
Any violation of this policy may result in legal action, including but not limited to:
Injunctions to prevent further access or distribution of SMGB materials.
Financial claims for damages incurred due to brand harm, defamation, or unauthorized use.
Copyright infringement lawsuits if unauthorised redistribution of materials is detected.
6. Right to Remove During Investigation:
SMGB Business Academy Ltd reserves the right, at its sole discretion, to suspend or terminate access to the course and all associated materials if the participant is under investigation for breaches of these Terms & Conditions or suspected conduct that could harm SMGB’s business integrity or community. Such precautionary action does not require the conclusion of any investigation prior to implementation.
By purchasing this course, you agree to these termination terms in full.
7. Investigation Suspension
SMGB Business Academy Ltd also reserves the right to suspend or terminate access immediately if a participant is under investigation for suspected breaches of these Terms or for actions deemed harmful to the community, the brand, or its reputation. This suspension may remain in place pending the outcome of such investigation. No refund will be issued in these circumstances.
SMGB Business Academy Ltd reserves the right to update, amend, or modify these Terms & Conditions at any time, without prior notice.
Updates will take effect immediately upon being posted in the course portal, Skool community, or official communication channels.
By continuing to use, promote, or resell the SMGB Business Course after updates are posted, you automatically agree to the revised Terms.
It is your sole responsibility to review these Terms regularly. Claims of not having seen the updated Terms will not be considered a valid defence for non-compliance.
12.SURVIVAL OF KEY TERMS AFTER TERMINATION
The following clauses shall remain legally binding even after your access to the SMGB Business Course is revoked, your reseller licence is terminated, or you voluntarily stop participating:
- Confidentiality (Section 7)
- Non-disparagement & Professional Conduct (Section 3)
- Intellectual Property Protection (Sections 2 & 7)
- Reseller Responsibility for Downline Customers (Section 9)
- Liquidated Damages for Slander (Section 9)
- Indemnification & Liability Waiver (Section 6)These terms are considered evergreen protections for the brand, creator, and intellectual property of SMGB Business Academy Ltd.These obligations remain in effect for a minimum of three (3) years following your removal, termination, or voluntary exit from the SMGB community.Breaching any of these terms within that period will result in legal action and financial consequences, including the £5,000 liquidated damages fee outlined in Section 9.
13.COPYRIGHT BREACH CONSEQUENCES & FINANCIAL DAMAGES

All course content, frameworks, systems, and materials remain the intellectual property of SMGB Business Academy Ltd. This includes but is not limited to: video lessons, templates, sales scripts, brand messaging, marketing structures, and internal business strategies.
By purchasing this course and becoming a verified reseller, you agree not to copy, recreate, repackage, teach, license, or modify any part of this course or brand for your own commercial use or to create competing products, services, or mentorship offers.
If you are found to have breached this clause, you agree to pay SMGB Business Academy Ltd a fixed compensatory damages fee of £20,000 per infringement. This amount represents a genuine pre-estimate of loss for breach of intellectual property and does not prevent SMGB from pursuing additional legal remedies.
This clause remains legally binding even if you are no longer part of the SMGB course, community, or reseller programme.
13.1 POST TERMINATION BREACH & INTELLECTUAL PROPERTY THEFT
Any individual who has previously purchased the SMGB Business Course, whether or not they completed the reseller verification process or maintained access, remains bound by the Terms & Conditions in perpetuity.If a former participant is found to have:
Used SMGB course content, frameworks, language, or business structures to create a similar or competing offer,
Repurposed course ideas, formats, or marketing strategies into a new Master Resell Rights (MRR) product,
Or violated SMGB’s intellectual property in any way, even after being removed or terminated,They will be in breach of the original agreement and liable to pay a minimum of £20,000 in compensatory damages per infringement.This clause is enforceable regardless of whether the individual is still part of the SMGB platform. All intellectual property rights remain protected under UK copyright law indefinitely.SMGB Business Academy Ltd reserves the right to pursue legal action for damages, injunctions, and full recovery of profits generated from any competing product created using stolen or derivative material.
14.TRANSLATIONS, AI USAGE & INTERNATIONAL SALES
SMGB Business Academy Ltd is expanding its course availability using advanced AI translation and voice-syncing technology. The multilingual versions of the SMGB Business Course feature the original creator’s voice and video content, enhanced with AI to translate the spoken language and synchronise lip movement for native-language delivery.
You acknowledge that while the translated versions include the creator’s real voice and likeness, they have been modified using AI to produce native-language versions. These enhancements do not imply that each language version was recorded manually or individually by the creator.
All translated course content remains the intellectual property of SMGB Business Academy Ltd and may not be altered, rebranded, or misrepresented by resellers.
If you choose to promote, market, or resell the SMGB Business Course in a language other than English, you do so at your own discretion. You are fully responsible for ensuring that your marketing, sales claims, and resale activity are compliant with the language laws, advertising regulations, consumer rights, and digital product laws in the regions where you operate.
SMGB Business Academy Ltd will not be held liable for any legal, financial, or reputational issues resulting from unauthorised or non-compliant resale activity in other languages or jurisdictions.
15. CUSTOMER ACCESS APPROVAL & IDENTITY VERIFICATION
To maintain course integrity and protect against fraud, all customers of SMGB resellers must complete an identity and purchase verification process before access to the course is granted.
Resellers are responsible for informing their buyers of the following approval process. All customers must email info@selfmadegirlboss.co.uk with the following:
A copy of their purchase receipt that includes their full name and transaction date
One form of valid government-issued photo ID (passport, driver’s licence, or national ID)
The full name and social media handle of the reseller they purchased from
The customer’s full name as it appears in Skool, so it can be cross-referenced
Access to the course will only be granted once these documents are reviewed and approved by SMGB Business Academy Ltd.
Failure to submit the required documents may result in denied access without refund. SMGB Business Academy Ltd reserves the right to refuse access to any individual if the verification process is not completed or if fraudulent activity is suspected.
Access Denial for Non-Verification If a customer refuses or fails to provide the requested verification documents, SMGB Business Academy Ltd reserves the right to deny course access at its sole discretion. In such cases, no refund will be issued, and no liability will be accepted by SMGB Business Academy Ltd for any loss or dissatisfaction experienced by the customer. It is the reseller’s responsibility to communicate this policy clearly at the point of sale.
All verification documents provided are securely stored only for the purpose of verification and are deleted once the process is complete, in line with GDPR requirements.
15.2 TESTIMONIALS & USER-GENERATED CONTENT
By posting success stories, testimonials, or other feedback within SMGB Business Academy Ltd communities (including private groups, forums, or public platforms), you:
Grant SMGB Business Academy Ltd a worldwide, royalty-free, perpetual licence to use, reproduce, display, and distribute your posted content (including your username or first name) for promotional, marketing, and educational purposes.
Confirm that the content shared reflects your genuine experience and that you take full responsibility for its accuracy and truthfulness.
Acknowledge that SMGB Business Academy Ltd cannot independently verify every testimonial and disclaims all liability for any inaccuracies or misrepresentations made by individual users.
Agree to indemnify and hold harmless SMGB Business Academy Ltd against any claims, damages, or legal action arising from your testimonial content, including if others rely on it.
If you do not wish your content to be used in this way, you must notify us in writing at info@selfmadegirlboss.co.ukbefore posting.
16.1 All Sales Are Final
By purchasing any SMGB Business Academy Ltd product (including courses, bundles, coaching calls, and digital resources), you agree that all sales are final and non-refundable. No refunds will be issued under any circumstances.
16.2 Deemed Use of Product
Access to SMGB is deemed to have occurred at the moment the confirmation email or login details are sent to you, regardless of whether you log in, open, or access the materials. At this point, your purchase is considered fully delivered and consumed due to the nature of digital goods.
16.3 Complimentary Bonuses
Complimentary bonuses (e.g., coaching calls) are optional extras provided at no additional charge. Failure to schedule or utilise these does not entitle you to a refund, credit, or partial refund of the course price.
16.4 Resale and Earnings Waiver
If you have resold the SMGB course or received any financial benefit from your purchase, you are explicitly barred from seeking a refund at any time. Participation in resale constitutes full and binding use of the product.
16.5 No Exceptions
Refunds will not be granted due to:
Change of mind
Failure to access or use the product
Dissatisfaction with results
Length of time since purchase
16.6 Your Agreement
By completing your purchase, you confirm your understanding of and agreement to this no-refund policy.
17. PRIVACY & DATA PROTECTION (GDPR COMPLIANCE)
SMGB Business Academy Ltd complies fully with the UK GDPR and Data Protection Act 2018.
Data Collection: Personal data collected (e.g., name, email, ID for verification) is strictly for providing access to the Product and for fraud prevention.
ID Verification Data: All verification documents are stored securely, accessible only by authorised personnel, and permanently deleted once verification is complete.
Retention Policy: We retain only minimal business records (e.g., name, email, purchase details) required for legal and tax purposes.
Data Sharing: We do not share, sell, or disclose customer data to third parties unless required by law.
Your Rights: You may request access, correction, or deletion of your personal data by emailing info@selfmadegirlboss.co.uk.
False or malicious accusations of data misuse are taken seriously and may result in legal action.
SMGB Business Academy Ltd is committed to protecting your privacy. All personal data, including identification documents submitted for verification, is handled in compliance with the UK GDPR and Data Protection Act 2018. Documents are used solely for verification and deleted securely after the process is complete.
18. FORCE MAJEURE
SMGB Business Academy Ltd shall not be held liable for any delay or failure to perform its obligations under these Terms & Conditions if such delay or failure results from events, circumstances, or causes beyond its reasonable control.
This includes (but is not limited to):
acts of God, natural disasters, storms, floods, fires, or earthquakes;
acts of government or regulatory changes;
strikes, lockouts, or other industrial disputes;
internet or server outages, platform disruptions, or third-party service failures;
pandemics, epidemics, or other public health emergencies;
and any other event that could not have been reasonably foreseen or prevented.
In such circumstances, SMGB Business Academy Ltd will take reasonable steps to mitigate the impact, but no refunds, compensation, or liability will apply for delays or non-performance caused by such events.
This Agreement constitutes the entire agreement between you and SMGB Business Academy Ltdregarding the use of the Product and supersedes any prior or contemporaneous understandings or agreements, whether written or oral.
Changes to Terms and Conditions: We reserve the right to update or modify these terms and conditions at any time without prior notice. Your continued use of the website after any changes to the terms and conditions indicates your acceptance of such changes. It is your responsibility to review these terms and conditions regularly.
