This agreement is governed by and construed in accordance with the laws of England and Wales.
• Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
• In case of a legal dispute, this agreement, including all clauses, will be relied upon for protection and enforcement.
General Behaviour Expectations
1. Participants are expected to engage in discussions and interactions constructively.
2. Use of offensive language, personal attacks, or toxic behaviour within the course or associated forums is prohibited.
3. Violation of these expectations will lead to immediate removal without refund.

• Marketing strategies, sales techniques, and proprietary business systems.
• Discussions, training sessions, and other content shared in private forums or groups.
You agree to keep all Confidential Information private and not share it with any third party without prior written consent from SMGB.
2. Permitted Use
You may use Confidential Information only for the following purposes:
• Reselling authorised SMGB products as per your licence.
• Applying strategies for your personal business growth.
You are strictly prohibited from:
• Sharing, distributing, or copying SMGB content for purposes other than reselling.
• Modifying, altering, reverse engineering or creating derivative works from SMGB content.
• Claiming ownership of SMGB materials or intellectual property.
3. Reselling Rights
SMGB grants members a non-exclusive, non-transferable licence to resell SMGB products, provided that:
• You use only approved SMGB branding and materials.
• You follow any pricing or promotional guidelines outlined by SMGB.
• You do not transfer your reseller licence or master resale rights without written approval.
4. Prohibited Actions
You agree that you will not:
• Offer SMGB products for free or as part of a free bundle.
• Sell or share the materials with unauthorised parties.
• Impersonate SMGB or claim authorship of its materials.
5. Duration
These confidentiality obligations remain in effect during your membership in the SMGB community and for 3 years after your membership ends.
6. Consequences of Breach
If you breach these Terms:
• Your access to the SMGB community and reselling rights will be immediately revoked.
• SMGB reserves the right to pursue legal action, including claims for damages or injunctive relief.
7. Acknowledgment and Agreement
By participating in the SMGB community or reselling SMGB products, you acknowledge and agree to these confidentiality and reseller obligations. Your continued participation constitutes legal acceptance of these Terms.
7.COPYRIGHT & INTELLECTUAL PROPERTY PROTECTION
ALL RIGHTS RESERVED – UNAUTHORISED USE STRICTLY PROHIBITED
Ownership of Content
All course materials, including but not limited to videos, text, templates, PDFs, sales scripts, branding elements, and marketing strategies, are the exclusive intellectual property of SMGB Business Academy Ltd.
The course and its content are protected under UK and international copyright laws and may not be reproduced, distributed, or modified without explicit written permission.
Resale Rights & Limitations
You do not own the course content itself—you are granted a non-exclusive, non-transferable resale license under the Master Resell Rights (MRR) model.
Resellers may only sell the product under the terms of their license and must not modify or rebrand the original materials.
Strictly Prohibited Actions
Consequences of Copyright Infringement
Any unauthorised use, duplication, or distribution of SMGB Business Academy Ltd content will result in:

All SMGB Business Academy Ltd content is protected under the UK Copyright, Designs and Patents Act 1988 and applicable international copyright treaties. Unauthorised reproduction, resale, or redistribution of materials may result in civil and/or criminal liability.
8. BUSINESS FLEXIBILITY

9. RESELLER RESPONSIBILITY FOR DOWNLINE CUSTOMERS

SMGB Business Academy Ltd reserves the right to update, amend, or modify these Terms & Conditions at any time, without prior notice.
Updates will take effect immediately upon being posted in the course portal, Skool community, or official communication channels.
By continuing to use, promote, or resell the SMGB Business Course after updates are posted, you automatically agree to the revised Terms.
It is your sole responsibility to review these Terms regularly. Claims of not having seen the updated Terms will not be considered a valid defence for non-compliance.
12.SURVIVAL OF KEY TERMS AFTER TERMINATION
The following clauses shall remain legally binding even after your access to the SMGB Business Course is revoked, your reseller licence is terminated, or you voluntarily stop participating:

- Intellectual Property Protection (Sections 2 & 7)
- Reseller Responsibility for Downline Customers (Section 9)
- Liquidated Damages for Slander (Section 9)
- Indemnification & Liability Waiver (Section 6)These terms are considered evergreen protections for the brand, creator, and intellectual property of SMGB Business Academy Ltd.These obligations remain in effect for a minimum of three (3) years following your removal, termination, or voluntary exit from the SMGB community.Breaching any of these terms within that period will result in legal action and financial consequences, including the £5,000 liquidated damages fee outlined in Section 9.
13.COPYRIGHT BREACH CONSEQUENCES & FINANCIAL DAMAGES

All course content, frameworks, systems, and materials remain the intellectual property of SMGB Business Academy Ltd. This includes but is not limited to: video lessons, templates, sales scripts, brand messaging, marketing structures, and internal business strategies.
By purchasing this course and becoming a verified reseller, you agree not to copy, recreate, repackage, teach, license, or modify any part of this course or brand for your own commercial use or to create competing products, services, or mentorship offers.
If you are found to have breached this clause, you agree to pay SMGB Business Academy Ltd a fixed compensatory damages fee of £20,000 per infringement. This amount represents a genuine pre-estimate of loss for breach of intellectual property and does not prevent SMGB from pursuing additional legal remedies.
This clause remains legally binding even if you are no longer part of the SMGB course, community, or reseller programme.
13.1 POST TERMINATION BREACH & INTELLECTUAL PROPERTY THEFT
Any individual who has previously purchased the SMGB Business Course, whether or not they completed the reseller verification process or maintained access, remains bound by the Terms & Conditions in perpetuity.If a former participant is found to have:
Used SMGB course content, frameworks, language, or business structures to create a similar or competing offer,
Repurposed course ideas, formats, or marketing strategies into a new Master Resell Rights (MRR) product,
Or violated SMGB’s intellectual property in any way, even after being removed or terminated,They will be in breach of the original agreement and liable to pay a minimum of £20,000 in compensatory damages per infringement.This clause is enforceable regardless of whether the individual is still part of the SMGB platform. All intellectual property rights remain protected under UK copyright law indefinitely.SMGB Business Academy Ltd reserves the right to pursue legal action for damages, injunctions, and full recovery of profits generated from any competing product created using stolen or derivative material.
14.TRANSLATIONS, AI USAGE & INTERNATIONAL SALES
SMGB Business Academy Ltd is expanding its course availability using advanced AI translation and voice-syncing technology. The multilingual versions of the SMGB Business Course feature the original creator’s voice and video content, enhanced with AI to translate the spoken language and synchronise lip movement for native-language delivery.
You acknowledge that while the translated versions include the creator’s real voice and likeness, they have been modified using AI to produce native-language versions. These enhancements do not imply that each language version was recorded manually or individually by the creator.
All translated course content remains the intellectual property of SMGB Business Academy Ltd and may not be altered, rebranded, or misrepresented by resellers.
If you choose to promote, market, or resell the SMGB Business Course in a language other than English, you do so at your own discretion. You are fully responsible for ensuring that your marketing, sales claims, and resale activity are compliant with the language laws, advertising regulations, consumer rights, and digital product laws in the regions where you operate.
SMGB Business Academy Ltd will not be held liable for any legal, financial, or reputational issues resulting from unauthorised or non-compliant resale activity in other languages or jurisdictions.
15. CUSTOMER ACCESS APPROVAL & IDENTITY VERIFICATION
To maintain course integrity and protect against fraud, all customers of SMGB resellers must complete an identity and purchase verification process before access to the course is granted.
Resellers are responsible for informing their buyers of the following approval process. All customers must email info@selfmadegirlboss.co.uk with the following:
A copy of their purchase receipt that includes their full name and transaction date
One form of valid government-issued photo ID (passport, driver’s licence, or national ID)
The full name and social media handle of the reseller they purchased from
The customer’s full name as it appears in Skool, so it can be cross-referenced
Access to the course will only be granted once these documents are reviewed and approved by SMGB Business Academy Ltd.
Failure to submit the required documents may result in denied access without refund. SMGB Business Academy Ltd reserves the right to refuse access to any individual if the verification process is not completed or if fraudulent activity is suspected.
Access Denial for Non-Verification
If a customer refuses or fails to provide the requested verification documents, SMGB Business Academy Ltd reserves the right to deny course access at its sole discretion. In such cases, no refund will be issued, and no liability will be accepted by SMGB Business Academy Ltd for any loss or dissatisfaction experienced by the customer. It is the reseller’s responsibility to communicate this policy clearly at the point of sale.
This Agreement constitutes the entire agreement between you and SMGB Business Academy Ltdregarding the use of the Product and supersedes any prior or contemporaneous understandings or agreements, whether written or oral.
Changes to Terms and Conditions: We reserve the right to update or modify these terms and conditions at any time without prior notice. Your continued use of the website after any changes to the terms and conditions indicates your acceptance of such changes. It is your responsibility to review these terms and conditions regularly.
