• Your use of the Product or any resale activities.

• Any direct or indirect consequences resulting from your application of course material.

• Legal or financial issues arising from your business operations, tax obligations, or marketing practices.

• Any claims of misrepresentation, breach of contract, or intellectual property infringement related to your sales.

• Any regulatory or compliance issues in your jurisdiction that impact your resale activities.

LIMITATION OF LIABILITY

SMGB Business Academy Ltd is not responsible for any financial losses, business outcomes, or liabilities incurred as a result of your purchase, use, or resale of the Product.

The Product is provided "as is," without warranties of any kind, express or implied.

Under no circumstances shall SMGB Business LLC be liable for any direct, indirect, incidental, consequential, or special damages arising from your use of the Product, even if advised of the possibility of such damages.

You acknowledge that any business, income, or legal decisions you make are at your own risk and discretion.

• Discussions, training sessions, and other content shared in private forums or groups.

You agree to keep all Confidential Information private and not share it with any third party without prior written consent from SMGB Business LLC.

• Permitted Use
  You may use Confidential Information only for the following purposes:

• Promoting the SMGB course via your affiliate link.

• Applying strategies for your personal business growth.

You are strictly prohibited from:

• Sharing, distributing, or copying SMGB content.

• Modifying, altering, reverse-engineering, or creating derivative works from SMGB content.

• Claiming ownership of SMGB materials or intellectual property.

• Prohibited Actions
  You agree that you will not:

• Offer SMGB materials for free or as part of a free bundle.

• Upload SMGB content to any file-sharing platforms, social media, or websites.

• Impersonate SMGB or claim to be an “official” representative.

• Duration
  These confidentiality obligations remain in effect during your participation in the Affiliate Program and for three (3) years after termination.

• Consequences of Breach
  If you breach these Terms:

• Your affiliate account will be terminated immediately.

• Any unpaid commissions may be forfeited.

• SMGB reserves the right to pursue legal action, including damages or injunctive relief.

7. COPYRIGHT & INTELLECTUAL PROPERTY PROTECTION

ALL RIGHTS RESERVED – UNAUTHORISED USE STRICTLY PROHIBITED

7.1 Ownership of Content

All course materials, including but not limited to:

• Videos, scripts, and text lessons

• Templates, workbooks, and PDFs

• Sales scripts and marketing frameworks

• Branding elements, logos, and visual assets

• Marketing and sales strategies

are the exclusive intellectual property of SMGB Business LLC.

The course and its content are protected under UK, Dubai and international copyright law. They may not be reproduced, distributed, or modified without explicit written permission.

7.2 Affiliate Rights & Limitations

As an Affiliate, you:

• Do not own the course content.

• Are granted a non-exclusive, non-transferable right to promote SMGB via your affiliate link and earn commission.

• Must not copy, edit, rebrand, or redistribute SMGB materials.

• Must not claim authorship or ownership of SMGB materials.

7.3 Strictly Prohibited Actions

The following actions are expressly forbidden:

• Copying, distributing, or reproducing any part of SMGB content outside of affiliate marketing.

• Creating derivative works, modified versions, or competing products using SMGB materials.

• Uploading course content to any file-sharing platforms, social media groups, or websites.

• Removing or altering copyright notices, branding, or disclaimers.

• Using SMGB frameworks, layouts, or teaching structure as the basis for a competing offer.

7.4 Consequences of Copyright Infringement

Any unauthorised use of SMGB content will result in:

• Immediate termination of your affiliate account.

• Forfeiture of all unpaid commissions.

• Permanent ban from rejoining the Affiliate Program.

• Legal action, including claims for damages, injunctions, and recovery of profits gained from infringing use.

7.5 Reporting Copyright Violations

SMGB Business Academy Ltd actively monitors for infringement. If you suspect anyone is unlawfully distributing, copying, or repackaging SMGB content, report immediately to info@selfmadegirlboss.co.uk with supporting evidence.

7.6 Legal Notice

All SMGB content is protected under the UK Copyright, Designs and Patents Act 1988 and applicable international treaties in particular with Dubai and the UAE

Unauthorised reproduction, redistribution, or derivative use may result in:

• Civil liability (financial damages)

• Criminal liability under copyright law

7.7 Competing Course Policy & Termination

To maintain the integrity of the SMGB ecosystem, students, affiliates, and members agree not to create, co-create, promote, or sell any digital marketing course, mentorship programme, or educational product that replicates, mirrors, or draws inspiration from the SMGB structure, modules, frameworks, or intellectual property.

This includes but is not limited to:

• Using SMGB content, lesson outlines, frameworks, or systems as a base for a new course.

• Repackaging SMGB teachings under a different name.

• Using SMGB resources, student community, or brand association to promote a competing course.

Any member found to be in breach of this clause will have their access to SMGB and all related programmes permanently revoked without refund, and legal action may be taken to protect the company’s intellectual property.

SMGB Business Academy Ltd reserves the right to update, change, or discontinue the Affiliate Program structure, commission terms, payout rates, pricing, or overall business strategy at any time, at its sole discretion.

8.1 Acknowledgement of Business Model Flexibility

By joining the SMGB Affiliate Program, you acknowledge and agree that:

• The affiliate commission structure, payout method, and promotional framework offered at the time of your registration may change in the future.

• SMGB Business Academy Ltd is under no obligation to maintain the same affiliate model, payout rate, or distribution method indefinitely.

• Adjustments to pricing, affiliate commission percentages, or payout structures may occur at any time, with or without prior notice.

8.2 Waiver of Future Claims

You expressly waive any claims of:

• Misrepresentation

• Unfair trading

• Financial loss or damages

arising from changes to the Affiliate Program, its commission rates, or business model.

8.3 Non-Exclusivity

The Affiliate Program is strictly non-exclusive. SMGB Business LLC reserves the right to:

• Appoint additional affiliates.

• Operate direct sales alongside affiliate promotions.

• Change the distribution model at any time without liability.

8.4 Continued Participation

Your continued participation in the Affiliate Program after changes are made constitutes full acceptance of the revised model and terms. If you do not agree to the updates, your sole remedy is to discontinue participation.

By participating in the SMGB Affiliate Program, you acknowledge the following obligations and responsibilities:

9.1 Marketing Responsibilities

• You are fully responsible for the way in which you market, communicate, and promote the SMGB course.

• You must accurately represent SMGB and may not make:

  • False income claims

  • Misleading promises

  • Exaggerated guarantees of success

  • Misrepresentations about course features or outcomes

• All marketing must comply with the laws and regulations in your jurisdiction, including but not limited to: CMA (UK), ASA (UK), FTC (US), GDPR/PECR (UK/EU).

9.2 Customer Support & Refunds

• SMGB Business LLC is solely responsible for handling:

  • Customer access to the course

  • Technical support

  • Refunds or disputes

• Affiliates are not authorised to provide customer service or issue refunds on behalf of SMGB.

• You must not make promises about refunds, guarantees, or access that differ from the official SMGB Terms & Conditions.

9.3 Prohibited Conduct

You are strictly prohibited from:

• Criticising or devaluing SMGB, its creator, or its course materials in order to upsell, redirect, or promote alternative offers.

• Creating doubt about SMGB to drive conversions into your own or another person’s product, service, or affiliate program.

• Using negative marketing, harassment, or disparagement as a sales tactic.

• Engaging in spamming, unsolicited DMs, or misleading advertising practices.

9.4 Responsibility for Representations

• You are personally responsible for any claims you make when promoting SMGB.

• If you make misleading claims, you assume full liability for any resulting disputes, investigations, or regulatory issues.

• SMGB Business LLC is not liable for misrepresentations made by affiliates in their independent marketing.

9.5 Consequences of Breach

• Breaches of these marketing obligations may result in:

  • Immediate termination of your affiliate account.

  • Forfeiture of unpaid commissions.

  • Permanent ban from the Affiliate Program.

  • Legal action, including claims for damages and recovery of profits obtained through unauthorised or misleading marketing.

9.6 Liquidated Damages for Reputational Harm

If you attempt to publicly slander or defame SMGB, its creator, or its associated brands—including through negative reviews, accusations, or misleading social media posts—you agree to pay £5,000 in liquidated damages.

• This amount reflects a genuine pre-estimate of the reputational loss suffered and is not a penalty.

• SMGB reserves the right to pursue additional claims if reputational or financial harm exceeds this amount.

SMGB Business LLC reserves the absolute right to suspend or terminate affiliate accounts at any time under the following conditions:

10.1 Termination Due to Breach of Terms

Your affiliate account will be permanently revoked if you:

• Breach any part of this Agreement, including confidentiality, affiliate obligations, or copyright policies.

• Engage in fraudulent, deceptive, or misleading practices when promoting SMGB.

• Disparage, defame, or harass SMGB Business Academy Ltd, its creator, staff, affiliates, or community members.

• Misuse, copy, or distribute SMGB materials outside of approved affiliate activities.

• Attempt to provide affiliate access, links, or commissions to unauthorised individuals.

• SMGB reserves the right to terminate access without refund if a member breaches the Competing Course Policy outlined under Section 7.7

Right to Immediate Suspension During Investigation

• SMGB Business LLC may suspend your affiliate account immediately if you are under investigation for breaches of these Terms or suspected conduct that could harm the brand or community.

• Suspension does not require an investigation to be concluded before action is taken.

• If it is later determined that no breach occurred, reinstatement may be granted at SMGB’s sole discretion.

• No commissions will be paid during suspension periods or following confirmed termination.

10.2 Termination for Malicious or Disruptive Behaviour

SMGB maintains a zero-tolerance policy for:

• Trolling, harassment, or instigating disputes.

• Spreading false or misleading information about SMGB, its creator, or its business model.

• Attempting to harm the reputation or operations of SMGB through social media, forums, or public platforms.

• Encouraging others to undermine the business (e.g., advising affiliates to misprice or sabotage the brand).

Immediate Effect:

• Permanent removal from the Affiliate Program.

• Forfeiture of unpaid commissions.

• Placement on a restricted access list to prevent future registration.

10.3 Ban Enforcement Policy

Once terminated, you are permanently prohibited from:

• Re-registering as an affiliate under any identity, email, or payment method.

• Circumventing termination by using third parties to promote SMGB on your behalf.

• Accessing SMGB course materials through another participant’s login.

• Participating in any SMGB-affiliated mentorships, programs, or events.

Enforcement Measures:

• All affiliate sign-ups are cross-checked against a termination database.

• Any attempt to bypass a ban will result in immediate removal without commission.

• Affiliates found assisting banned individuals will also lose their accounts permanently.

10.4 Termination for Business Restructuring or Company Discretion

In rare cases, SMGB Business LLC may terminate affiliate accounts due to restructuring, business model adjustments, or discontinuation of the program.

• 30 days’ notice will be given where applicable.

• If termination is not due to a breach, unpaid commissions up to the date of termination may be settled at SMGB’s discretion.

• No liability exists for future or potential earnings after termination.

10.5 Legal Consequences for Breach

Any violation of these Terms may result in:

• Permanent termination from the Affiliate Program.

• Legal injunctions to prevent continued use of SMGB branding or assets.

• Financial claims for reputational damages.

• Copyright infringement lawsuits where unauthorised use of materials is detected.

SMGB Business LLC reserves the right to update, amend, or modify these Terms & Conditions at any time, without prior notice.

Updates will take effect immediately upon being posted in the course portal, Skool community, or official communication channels.

By continuing to use, promote, or resell the SMGB Business Course after updates are posted, you automatically agree to the revised Terms.

It is your sole responsibility to review these Terms regularly. Claims of not having seen the updated Terms will not be considered a valid defence for non-compliance.

The following clauses shall remain legally binding even after your affiliate account is terminated, suspended, or you voluntarily stop participating in the SMGB Affiliate Program:

• Confidentiality (Section 6)

• Non-Disparagement & Professional Conduct (Section 3)

• Intellectual Property Protection (Section 7)

• Affiliate Marketing Responsibility (Section 9)

• Liquidated Damages for Reputational Harm (Section 9.6)

• Indemnification & Liability Waiver (Section 5)

• Copyright Breach Consequences & Financial Damages (Section 13)

12.1 Duration of Survival

These obligations remain in effect for a minimum of three (3) years following:

• Your removal or termination from the Affiliate Program, or

• Your voluntary exit from participation.

12.2 Post-Termination Enforcement

• Breaching any of these obligations during the survival period will result in legal action and financial liability, including the fixed damages set out in Section 9.6 (£5,000) and Section 13 (£20,000 per infringement).

• SMGB Business LLC reserves the right to pursue additional damages if reputational or financial harm exceeds those amounts.

• Attempts to evade enforcement (e.g., re-registering under a new identity, promoting through third parties, or continuing to misuse SMGB materials) will be treated as deliberate breaches and prosecuted accordingly.

12.3 Binding Effect

These survival terms apply regardless of:

• Whether termination was voluntary, enforced, or discretionary.

• Whether you remain an affiliate, former affiliate, or external third party misusing SMGB property.

All course content, frameworks, systems, and materials remain the exclusive intellectual property of SMGB Business LLC. This includes, but is not limited to:

• Video lessons and scripts

• Templates, workbooks, and PDFs

• Sales scripts, funnels, and brand messaging

• Marketing frameworks and internal business strategies

• Module structure, lesson sequence, and delivery format

13.1 Affiliate Obligations

By joining the SMGB Affiliate Program, you agree that you will not:

• Copy, recreate, repackage, or re-teach SMGB content in any form.

• Use SMGB frameworks, lesson structures, or business models to create competing products, services, or mentorship offers.

• Rebrand, license, or redistribute SMGB materials without explicit written permission.

• Upload SMGB content to file-sharing sites, private groups, or unauthorised platforms.

• Claim ownership or authorship of SMGB content, branding, or methods.

13.2 Fixed Damages for Breach

If you are found to have breached this clause, you agree to pay SMGB Business LLC fixed compensatory damages of £20,000 per infringement.

• This figure represents a genuine pre-estimate of the loss caused by intellectual property theft.

• It is not a penalty, and SMGB reserves the right to pursue additional claims if actual damages exceed this amount.

• The damages fee applies per instance of infringement (e.g., each copied product, funnel, or derivative framework).

13.3 Post-Termination Breach & Intellectual Property Theft

These obligations survive even after you leave the Affiliate Program. If a former affiliate is found to have:

• Used SMGB’s course content, frameworks, or structures to create a competing offer,

• Repurposed SMGB materials into another course, product, or affiliate program,

• Repackaged SMGB’s model under a different name,

they will be considered in breach of this Agreement and subject to £20,000 damages per infringement, in addition to legal action.

13.4 Enforcement Measures

SMGB Business Academy Ltd reserves the right to:

• Issue cease & desist orders immediately upon discovery of infringement.

• Pursue injunctions to prevent further use of copied materials.

• Recover profits made from the unauthorised use of SMGB content.

• Report infringement to payment processors (Stripe, PayPal, banks) which may result in account restrictions or blacklisting.

13.5 Legal Notice

All SMGB content is protected under the UK Copyright, Designs and Patents Act 1988 and applicable international treaties.

• Unauthorised reproduction, redistribution, or derivative use may result in civil liability (damages and injunctions) and criminal liability under copyright law.

• These protections apply worldwide and remain enforceable indefinitely.

SMGB Business Academy Ltd is expanding its course availability using advanced AI translation and voice-syncing technology. The multilingual versions of the SMGB Business Course feature the original creator’s voice and video content, enhanced with AI to translate the spoken language and synchronise lip movement for native-language delivery.

You acknowledge that while the translated versions include the creator’s real voice and likeness, they have been modified using AI to produce native-language versions. These enhancements do not imply that each language version was recorded manually or individually by the creator.

All translated course content remains the intellectual property of SMGB Business LLC and may not be altered, rebranded, or misrepresented by resellers.

If you choose to promote, market, or resell the SMGB Business Course in a language other than English, you do so at your own discretion. You are fully responsible for ensuring that your marketing, sales claims, and resale activity are compliant with the language laws, advertising regulations, consumer rights, and digital product laws in the regions where you operate.

SMGB Business LLC will not be held liable for any legal, financial, or reputational issues resulting from unauthorised or non-compliant resale activity in other languages or jurisdictions.

To maintain course integrity and protect against fraud, all customers of SMGB resellers must complete an identity and purchase verification process before access to the course is granted.

Resellers are responsible for informing their buyers of the following approval process. All customers must email info@selfmadegirlboss.co.uk with the following:

A copy of their purchase receipt that includes their full name and transaction date

One form of valid government-issued photo ID (passport, driver’s licence, or national ID)

The full name and social media handle of the reseller they purchased from

The customer’s full name as it appears in Skool, so it can be cross-referenced

Access to the course will only be granted once these documents are reviewed and approved by SMGB Business Academy Ltd.

Failure to submit the required documents may result in denied access without refund. SMGB Business Academy Ltd reserves the right to refuse access to any individual if the verification process is not completed or if fraudulent activity is suspected.

Access Denial for Non-Verification If a customer refuses or fails to provide the requested verification documents, SMGB Business LLC reserves the right to deny course access at its sole discretion. In such cases, no refund will be issued, and no liability will be accepted by SMGB Business LLC for any loss or dissatisfaction experienced by the customer. It is the reseller’s responsibility to communicate this policy clearly at the point of sale.

All verification documents provided are securely stored only for the purpose of verification and are deleted once the process is complete, in line with GDPR requirements.

15.2 TESTIMONIALS & USER-GENERATED CONTENT

By posting success stories, testimonials, or other feedback within SMGB Business Academy Ltd communities (including private groups, forums, or public platforms), you:

• Grant SMGB Business LLC a worldwide, royalty-free, perpetual licence to use, reproduce, display, and distribute your posted content (including your username or first name) for promotional, marketing, and educational purposes.

• Confirm that the content shared reflects your genuine experience and that you take full responsibility for its accuracy and truthfulness.

• Acknowledge that SMGB Business LLC cannot independently verify every testimonial and disclaims all liability for any inaccuracies or misrepresentations made by individual users.

• Agree to indemnify and hold harmless SMGB Business LLC against any claims, damages, or legal action arising from your testimonial content, including if others rely on it.

If you do not wish your content to be used in this way, you must notify us in writing at info@selfmadegirlboss.co.ukbefore posting.

16.1 All Sales Are Final
By purchasing any SMGB Business LLC product (including courses, bundles, coaching calls, and digital resources), you agree that all sales are final and non-refundable. No refunds will be issued under any circumstances.

16.2 Deemed Use of Product
Access to SMGB is deemed to have occurred at the moment the confirmation email or login details are sent to you, regardless of whether you log in, open, or access the materials. At this point, your purchase is considered fully delivered and consumed due to the nature of digital goods.

16.3 Complimentary Bonuses
Complimentary bonuses (e.g., coaching calls) are optional extras provided at no additional charge. Failure to schedule or utilise these does not entitle you to a refund, credit, or partial refund of the course price.

16.4 Resale and Earnings Waiver
If you have resold the SMGB course or received any financial benefit from your purchase, you are explicitly barred from seeking a refund at any time. Participation in resale constitutes full and binding use of the product.

16.5 No Exceptions
Refunds will not be granted due to:

• Change of mind

• Failure to access or use the product

• Dissatisfaction with results

• Length of time since purchase

16.6 Your Agreement
By completing your purchase, you confirm your understanding of and agreement to this no-refund policy.

17. PRIVACY & DATA PROTECTION (GDPR COMPLIANCE)

• Data Collection: Personal data collected (e.g., name, email, ID for verification) is strictly for providing access to the Product and for fraud prevention.

• Retention Policy: We retain only minimal business records (e.g., name, email, purchase details) required for legal and tax purposes.

• Data Sharing: We do not share, sell, or disclose customer data to third parties unless required by law.

• Your Rights: You may request access, correction, or deletion of your personal data by emailing info@selfmadegirlboss.co.uk.
  False or malicious accusations of data misuse are taken seriously and may result in legal action.

• SMGB Business LLC is committed to protecting your privacy. All personal data, including identification documents submitted for verification, is handled in compliance with the UK GDPR and Data Protection Act 2018. Documents are used solely for verification and deleted securely after the process is complete.

18. FORCE MAJEURE
SMGB Business LLC shall not be held liable for any delay or failure to perform its obligations under these Terms & Conditions if such delay or failure results from events, circumstances, or causes beyond its reasonable control.
This includes (but is not limited to):

• acts of God, natural disasters, storms, floods, fires, or earthquakes;

• acts of government or regulatory changes;

• strikes, lockouts, or other industrial disputes;

• internet or server outages, platform disruptions, or third-party service failures;

• pandemics, epidemics, or other public health emergencies;

• and any other event that could not have been reasonably foreseen or prevented.

In such circumstances, SMGB Business LLC will take reasonable steps to mitigate the impact, but no refunds, compensation, or liability will apply for delays or non-performance caused by such events.

SMGB Business LLC (a company registered in Dubai, UAE) is the sole owner and operator of the SMGB course, brand, and affiliate programme.

However, for the purposes of compliance, customer support, affiliate enforcement, and legal oversight, authority is delegated to SMGB Business Academy Ltd, a company registered in the United Kingdom.

SMGB Business Academy Ltd retains full rights to:

• Investigate disputes or affiliate misconduct

• Terminate course or affiliate access

• Recover funds in the case of fraud, misrepresentation, or chargebacks

• Initiate legal proceedings under UK law, where applicable

This agreement is governed by and construed in accordance with the laws of England and Wales and the laws of the United Arab Emirates (UAE).

SMGB Business LLC is a Dubai-registered company and the exclusive owner of the SMGB Business Course and Affiliate Programme.

For enforcement, dispute handling, affiliate compliance, and legal safeguards under UK law, SMGB Business Academy Ltd (UK) is authorised to act on behalf of SMGB Business LLC.

This Agreement constitutes the entire agreement between you and SMGB Business LLC regarding the use of the Product and supersedes any prior or contemporaneous understandings or agreements, whether written or oral.

Changes to Terms and Conditions: We reserve the right to update or modify these terms and conditions at any time without prior notice. Your continued use of the website after any changes to the terms and conditions indicates your acceptance of such changes. It is your responsibility to review these terms and conditions regularly.
